1. Acceptance of Terms

By creating an account, accessing, or using Flipzi (mobile app or website), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as our Privacy Policy and Cookie Policy.

These Terms constitute a legally binding agreement between you and Nexa Lumen LTD, a company registered in Bulgaria (Registration Number: BG207736544).

2. About Flipzi

Flipzi is a Pokémon Trading Card Game (TCG) price tracking and portfolio management platform. Our Service provides:

• Real-time price monitoring from Cardmarket and other sources
• Price alerts when cards reach user-defined thresholds
• Portfolio tracking and analytics
• Card collection management
• Historical price data and trends

3. Eligibility

3.1 Age Requirement

You must be at least 13 years old to use Flipzi. If you are under 18, you must have permission from a parent or legal guardian.

3.2 Geographic Availability

Flipzi is available globally, with primary focus on European markets. We reserve the right to restrict access in certain jurisdictions if required by law.

3.3 Account Registration

To access account-based features, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access at [email protected]

4. User Accounts

4.1 Account Information

You agree to:

• Provide true, accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Not create multiple accounts for the same individual
• Not share your account credentials with others
• Not allow others to access your account

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately at [email protected] of any security breach

We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your account has been inactive for an extended period
• Required by law or regulatory authority

5. Subscriptions & Billing

5.1 Subscription Plans

Flipzi offers a Free tier and a Premium ("Flipzi Pro") tier. Premium is available as a monthly or annual subscription via in-app purchase on the Apple App Store (iOS) and Google Play Store (Android). Current pricing is displayed in the app before purchase.

A 7-day free trial may be offered to eligible new subscribers. Trial eligibility is determined by Apple or Google.

5.2 Payment Processing

In-app purchases are processed by Apple (App Store) or Google (Google Play). We use RevenueCat to manage subscription status and validate purchase receipts. We do not store your payment card details. Billing is handled entirely by Apple or Google per their respective terms.

If web-based purchases become available in the future, they may be processed by Stripe or another payment processor, and terms will be provided at the time of purchase.

5.3 Auto-Renewal

Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription through:

• iOS: Settings → Apple ID → Subscriptions
• Android: Google Play Store → Subscriptions

5.4 Cancellation

You may cancel your subscription at any time via your device's App Store or Google Play subscription settings. Upon cancellation:

• You retain Premium access until the end of the current billing period
• No partial refunds are provided for unused time
• Your account reverts to the Free tier after the billing period ends

5.5 Refunds

Refund requests are handled by Apple or Google per their respective refund policies. To request a refund, contact Apple Support or Google Play Support directly.

5.6 Price Changes

We may change subscription pricing from time to time. Existing subscribers will be notified in advance per Apple and Google requirements. Price changes apply at the next renewal period unless you cancel before renewal.

5.7 Taxes

Prices may include or exclude VAT depending on your region. Apple and Google handle tax collection where applicable per local laws.

5.8 Free Tier

Free users have limited access to certain features, including a limited number of collection items, price alerts, and portfolio items. Current limits are displayed in the app. We reserve the right to adjust Free tier limits at any time.

6. Service Usage & Restrictions

6.1 Permitted Use

You may use Flipzi for:

• Personal tracking of your trading card collection
• Setting price alerts for cards you're interested in
• Analyzing market trends and price history
• Managing your portfolio for informational purposes
• Business use (e.g., card shops/dealers) provided you comply with these Terms and our rate limits

6.2 Prohibited Activities

You may NOT:

Account Abuse

• Create multiple accounts for a single individual to bypass limits
• Share account credentials with others
• Use automated tools to create accounts
• Impersonate others or provide false information

Data Scraping & Automation

• Scrape, crawl, or spider any part of the Service
• Use bots, scripts, or automated tools to access data except where explicitly permitted
• Reverse engineer or attempt to extract our source code
• Copy, reproduce, or redistribute our pricing data at scale
• Create derivative products primarily based on our data

System Interference

• Attempt to gain unauthorized access to our systems
• Introduce viruses, malware, or harmful code
• Overload or attempt to disable our servers
• Circumvent security features or access restrictions
• Interfere with other users' access to the Service

Misuse of Service

• Use the Service for illegal purposes
• Violate intellectual property rights
• Post or transmit inappropriate content
• Engage in fraudulent activity
• Manipulate prices or market data

6.3 Rate Limits

We implement rate limits to ensure fair use and system stability. Excessive requests or automated access may result in temporary or permanent account suspension.

7. Intellectual Property

7.1 Our Property

All content, features, and functionality of Flipzi, including but not limited to:

• Software code and algorithms
• User interface design and graphics
• Logos, trademarks, and branding
• Compiled datasets and presentation of information
• Proprietary analytics and calculations

Are owned by Nexa Lumen LTD and protected by international copyright, trademark, and other intellectual property laws.

7.2 Third-Party Content

Pokémon Trading Card Game images, names, and related content are property of:

• The Pokémon Company
• Nintendo
• Game Freak
• Creatures Inc.

We display card images and related information for informational purposes. We do not claim ownership of Pokémon intellectual property.

7.3 Pricing Data Sources

Pricing and availability data is obtained from third-party sources (such as marketplaces and data providers). We compile, process, and present this data for informational purposes, but we do not guarantee that any third-party data is complete, current, or accurate.

7.4 User License

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use the Flipzi Service for your own use
• View and interact with your collection and portfolio data
• Receive notifications and alerts you configure

This license does not permit redistribution, resale, or commercial exploitation of our Service or data.

8. Disclaimer of Warranties

While we strive for accuracy, we do not guarantee:

• Real-time price updates (updates occur periodically)
• Complete accuracy of third-party data sources
• Availability of pricing for all cards
• That alert notifications will always be delivered

You acknowledge that:

• Prices are for informational purposes only
• Card values fluctuate and may differ from displayed prices
• You should verify prices independently before making purchases
• We are not responsible for financial decisions based on our data

9. Limitation of Liability

Indirect Damages:

• Lost profits or revenue
• Lost opportunities or business
• Loss of data or information
• Lost savings or investment losses
• Indirect, incidental, or consequential damages

Service-Related Issues:

• Errors or inaccuracies in pricing data
• Delayed or failed alert notifications
• Service interruptions or downtime
• Unauthorized access to your account
• Technical malfunctions or bugs

You acknowledge that we have set our terms and entered into these Terms in reliance on these limitations of liability, which allocate risk between us and form the basis of our agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nexa Lumen LTD, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any rights of third parties
• Your violation of applicable laws or regulations
• Content you submit or transmit through the Service
• Unauthorized access to your account due to your negligence

11. Data Privacy & Security

11.1 Privacy Policy

Your use of Flipzi is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using Flipzi, you consent to our data practices as described in the Privacy Policy.

11.2 Data Deletion

You may request deletion of your account and personal data at any time:

Upon request:

• Data is deleted as described in our Privacy Policy
• Some anonymized usage statistics may be retained
• Transaction records (if any exist in the future) may be retained as required by law

11.3 Account Re-registration

If you delete your account and later re-register, previous data may not be recoverable. If we offer paid plans in the future, any rules for restoring access will be provided in the subscription terms at the time of purchase.

12. Modifications to Service & Terms

12.1 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service
• Add or remove features at any time
• Update our technology and infrastructure

We will make reasonable efforts to notify users of significant changes via email, in-app notifications, or notices on our website.

12.2 Terms Updates

• On the effective date stated in the updated Terms for existing users

Continued use after changes take effect constitutes acceptance of new Terms.

These Terms shall be governed by and construed in accordance with the laws of Bulgaria and the European Union, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of Flipzi shall be subject to the exclusive jurisdiction of the courts of Sofia, Bulgaria, except where mandatory law provides otherwise.

13.3 Informal Resolution

Before filing any formal claim, you agree to contact us at [email protected] to attempt informal resolution. We will work in good faith to resolve disputes amicably.

13.4 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes individually and waive any right to bring class action lawsuits or participate in class-wide arbitration.

Our website may use analytics tools (such as Google Analytics or Microsoft Clarity) to understand how visitors use the site and improve performance. These tools are used for analytics purposes, not advertising, and we do not use them to track you across other companies' apps or websites for targeted ads.

Our Service may contain links to external websites or resources. We are not responsible for:

• Availability or content of external sites
• Privacy practices of third parties
• Transactions conducted on external platforms
• Accuracy of third-party information

16. Termination

16.1 Termination by You

You may terminate your account at any time by:

We may terminate or suspend your account immediately, without notice, if:

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.4 Assignment

You may not transfer or assign your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor.

17.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet infrastructure failures.

17.6 Survival

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and dispute resolution provisions.
